Terms of Service

By engaging Digich.org for services or by using this website, you agree to these Terms of Service. Please read them carefully. If you do not agree, please do not use our services or this website.

1. About Digich.org

Digich.org ("we", "us", "our") is an IT solutions company based in Achimota, Accra, Ghana. We provide software development, cybersecurity, cloud infrastructure, and IT consulting services to businesses and individuals.

2. Services

Our services are defined in individual project proposals, statements of work, or service agreements provided to each client. These Terms of Service govern the general relationship between Digich.org and anyone who engages our services or visits our website.

We reserve the right to refuse service to anyone at our sole discretion.

3. Proposals and Agreements

A formal engagement begins only upon the signing of a written proposal or service agreement and receipt of any agreed deposit. Initial consultations and project assessments are provided free of charge and do not create a contractual obligation on either party.

Payment terms are specified in each individual service agreement. In general:

All prices are quoted in Ghana Cedis (GHS) or US Dollars (USD) as agreed. Taxes (including VAT where applicable) are the responsibility of the client.

6. Intellectual Property

Work product

Upon receipt of full payment, Digich.org assigns to the client all intellectual property rights in the custom work product created specifically for that client under the project agreement, unless otherwise stated.

Pre-existing materials

Any tools, frameworks, libraries, or methodologies that Digich.org uses which existed prior to or independent of the client engagement remain the property of Digich.org or their respective owners. We grant the client a non-exclusive licence to use these as incorporated into the delivered project.

Third-party components

Open-source software and third-party components used in deliverables are subject to their respective licences, which we will disclose upon request.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose it to any third party without prior written consent, except as required by law.

8. Warranties and Representations

Digich.org warrants that:

We do not warrant that software will be entirely free of defects. Post-delivery support and bug-fixing terms are set out in the service agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Digich.org's total liability to you in respect of any claim arising out of or in connection with our services shall not exceed the total fees paid by you for the specific services giving rise to the claim in the 3 months preceding the claim.

We shall not be liable for any indirect, consequential, incidental, or special damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to power outages, internet failures, natural disasters, government actions, or other events of force majeure.

11. Termination

Either party may terminate a service agreement with written notice if the other party materially breaches its obligations and fails to remedy the breach within 14 days of written notice. Upon termination, the client shall pay for all work completed up to the date of termination.

These Terms of Service are governed by the laws of the Republic of Ghana. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ghana. For clients outside Ghana, we will endeavour to resolve disputes amicably before any formal proceedings.

We may update these Terms from time to time. The current version is always available on this page. Continued use of our website or services after changes constitutes acceptance of the updated terms.
